Go B2B Cargo App - Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "Transporter," "user") and ENE Company Limited ("GoRide," "we," "us," or "our") governing your use of the Go B2B Cargo mobile application (the "Transporter App") and the related services (collectively, the "Services").

1. Acceptance of the Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

2. The Go B2B Cargo Platform

The Services are provided as a technology platform that connects you, a licensed and qualified transporter, with shippers ("Shippers") who require cargo transportation services. We do not provide transportation services ourselves; rather, we are a marketplace for such services. You are an independent contractor, not an employee of GoRide.

3. Transporter Account and Obligations

• Registration: You must create and maintain an active user account. You must be at least 18 years old to use the Services.
• Information Accuracy: You agree to provide and maintain accurate, complete, and up-to-date information in your account, including your personal, vehicle, and financial details.
• Compliance with Laws: You are responsible for complying with all applicable laws, rules, and regulations, including those related to vehicle operation, cargo transport, and taxation.
• Conduct: You agree to act professionally and respectfully toward Shippers and to fulfill your accepted cargo movements with due care and diligence.

4. Cargo Movements and Payments

• Acceptance: You have the sole discretion to accept or decline any cargo tender presented to you through the Transporter App.
• Payments: All payments for cargo movements are processed through the platform. We will facilitate the payment from the Shipper to you, less any applicable service fees.
• Taxes: You are responsible for all applicable taxes on your earnings from the Services.
• Disputes: GoRide will assist in resolving payment or cargo disputes between you and a Shipper, but we are not responsible for direct losses.

5. Intellectual Property

The Transporter App, including all content, features, and functionality, is and will remain the exclusive property of ENE Company Limited and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the app for the purpose of accessing the Services.

6. Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available." GoRide disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We are not liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Services.

7. Indemnification

You agree to indemnify and hold harmless ENE Company Limited, its affiliates, and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses arising from your use of the Services or your breach of these Terms.

8. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction where ENE Company Limited is incorporated, without regard to its conflict of law provisions.

10. Changes to the Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will notify you of any changes by posting the new Terms on this page. Your continued use of the Services after the effective date of the new Terms constitutes your acceptance of the changes.
